NYISO Names New Members to Board of Directors

Jane Sadowsky and Bernard Dan to join NYISO Board in April

RENSSELAER, NY (03/31/2016)(readMedia)-- The New York Independent System Operator (NYISO) announced today the unanimous selection of Jane Sadowsky and Bernard W. Dan to its Board of Directors, effective April 2016.

The selection of Ms. Sadowsky and Mr. Dan is the result of the NYISO's stakeholder process in which representatives from each market sector, engaged in the shared governance of the NYISO, conducted a search and recommended potential directors to the Board.

Their proven leadership and combined expertise in the areas of energy finance, financial markets and business strategy will be instrumental in guiding the NYISO Board of Directors as we continue to advance the efficiency of our markets while reliably meeting consumers' energy needs," said Michael Bemis, Chairman of the Board.

Jane Sadowsky

Jane Sadowsky is the Managing Partner at Gardener Advisory LLC, where she focuses on providing services to governments and companies in the power, renewable energy, utility, and infrastructure sectors. She also serves as an independent director on the Board and Audit committee of Yamana Gold, Inc., a Canadian-based mining company. Prior to establishing Gardener Advisory LLC, Ms. Sadowsky served as a Senior Managing Director at Evercore Partners, Inc., where she led the power and utilities practice.

Ms. Sadowsky spent the first twelve years of her investment banking career with Donaldson, Lufkin & Jenrette. She subsequently joined Citigroup Investment Banking as a Managing Director and ultimately co-head of that firm's power and utilities group.

Ms. Sadowsky earned a Bachelor of Arts in Political Science from the University of Pennsylvania and a Master of Business Administration in Finance and Accounting from the Wharton School of the University of Pennsylvania.

Bernard W. Dan

Bernard Dan is the former Chief Executive Officer of Sun Holdings, LLC, a proprietary trading company focused on electronic trading, research and investing information. Before becoming President and ultimately CEO, he served on the company's Board of Directors. He currently serves as a special advisor to the Board of Directors of Onechronos Group, Inc, a startup financial exchange.

Prior to his work with Sun Holdings, Mr. Dan led several financial institutions, including MF Global Holdings, Ltd., the Chicago Board of Trade (CBOT) and Cargill Investor Services, Inc. As President and CEO of CBOT, he was instrumental in steering the organization through an initial public offering in 2005 and then sale of the organization to the Chicago Mercantile Exchange in 2007. After beginning his career with the National Futures Association, he held several positions with increasing responsibility at Cargill Investor Services before being named President and CEO in 1998.

Mr. Dan earned a Bachelor of Science degree in Accounting from St. John's University.

The two vacancies on the Board were created by the departure of Daniel More who left the Board in January 2016, and Erland "Erkie" Kailbourne, whose term expires in April 2016. Mr. Kailbourne has served since the Board's inception in 1998.

The NYISO Board is a diverse body comprising members with backgrounds in the electric power industry, finance, academics, technology, communications, and the law. The Board is required by the NYISO's federally approved tariffs to be independent and unaffiliated with any participant in the NYISO markets.
